The procedure

Decide on founders, shares and charter capital
An LLC in Uzbekistan can be formed by one or more persons (up to 50 participants). There is no statutory minimum charter capital for most activities, but banks and counterparties are more comfortable with capital from 10 million UZS. Shares are fixed in the sole founder's decision or in the minutes of the general meeting.

Choose a company name and check that it is unique
The name is reserved online through the state services portal. The check takes minutes: the system rejects names identical to an existing company or containing restricted words (for example, "Uzbekistan" without a special permit).

Secure a legal address
The address is confirmed by a title certificate or a lease agreement with the owner's consent. Mass-registration addresses and residential premises are a frequent trigger for later inspections, so we recommend a real office or a vetted service address.

Prepare the charter and the incorporation decision
The charter defines the scope of activity, the director's authority and the exit procedure for participants. The portal template works for simple cases; with two or more founders, an investor or option arrangements, the charter should be drafted for the deal.

Select your activity (OKED) codes
The primary code affects taxes, licensing and eligibility for tenders. You may list several additional codes, but the primary one must match where your revenue actually comes from.

File the application and pay the state duty
The application is filed online via my.gov.uz / birdarcha.uz with the founder's digital signature, or in person at a Public Services Centre. The duty is paid before filing and the receipt goes with the package.

Receive the certificate and tax number
With a correct package, registration takes 30 minutes to 1 business day online and up to 2 business days through a Public Services Centre. The certificate, TIN and register extract arrive electronically in your personal cabinet.

How long does it take to register an LLC in Uzbekistan?
With online filing and a correct document package, the certificate is issued within 30 minutes to 1 business day. For companies with foreign founders it usually takes 2–7 business days, allowing for translation and legalisation.
Is there a minimum charter capital for an LLC?
For most activities no minimum is set, and the capital must be paid up within one year of registration. Certain sectors, such as financial services and tourism, have their own requirements.
Can a foreigner be the sole founder of an LLC?
Yes. A foreign individual or legal entity may hold 100% of the shares. You will need a notarised translation of the passport or register extract, and an apostille or consular legalisation for a corporate founder.
Do I have to be physically present in Tashkent?
No. Registration can be completed remotely under a power of attorney or with a digital signature. Physical presence is normally required only to open the bank account, and some banks allow video identification.
